Eunisell Interlinked Plc Notifies on Resolutions Passed at Their 40th AGM

The members of the abovenamed Company at its 40th Annual General Meeting held on Thursday, 25thNovember, 2021 at Adna Hotel, No. 28, Oladipo Bateteye Street, Ikeja GRA, LagosState at 11.00 a.m., proposed and unanimously passed the following resolutions:

Ordinary Business

1. That the Audited Financial Statements for the yearended 31st June, 2021 together with the Reports of the Directors, the Auditorsand the Audit Committee thereon submitted to the meeting be received andadopted.

2. Disclosure of the Remuneration of Managers of theCompany in line with Section 257 of the Companies and Allied Matters Act 2020.

3. Toauthorize the Directors to fix the remuneration of the Auditors.

4. The following shareholders were elected to the AuditCommittee:

(a) Mr.Bosun Shyllon

(b) Mr.Olatunde Olayemi

Thefollowing Non-Executive Directors were nominated to represent the Board on theAudit Committee:

(a) Mr.Kayode Awobodu

(b) Mr.Ajibola Edwards

Note: TheCompany received only two nominees from the shareholders and will endeavor tocomply next year in line with CAMA 2020.

SpecialBusiness:

(a) To increase the Company's issued share capital by upto N500,000,000.00( Five Hundred Million Naira) through the issuance of sharesout of the unissued capital of the Company for the purpose of corporaterestructuring, settlement of debts, debt- to-equity conversion, employees andexecutive compensation, on such terms and conditions and for such other purposewhich the Directors resolve to be in the best interest of the Company, subjectto obtaining the approvals of the relevant regulatory authorities.

(b) To grant the Directors the authority to enter into anyagreement and/or execute any other documents necessary for and incidental toeffecting the resolution above.

(c) To grant the Directors the authority to appoint suchprofessional and other parties and perform all such other acts and do all suchother things as may be necessary for and / or incidental to effecting the aboveresolutions.
